Your use of our software, or any of the products or services offered on our Web site (hereinafter referred to collectively as the "Services"), is subject to these Site Terms of Use (hereinafter referred to as these "Terms"). myTEAMBOOK may modify these Terms at any time without notice to you by posting revised Terms on our sites. Your use of our sites constitutes your binding acceptance of these Terms, including any modifications that myTEAMBOOK may make.
MyTeamBook has the right, but not the obligation, to take any of the following actions in our sole discretion at any time and for any reason without giving you any prior notice:
- Restrict, suspend, or terminate your access to all or any part of our Services;
- Change, suspend, or discontinue all or any part of our Services;
- Refuse, move, or remove any material that you submit to our sites for any reason;
- Refuse, move, or remove any content that is available on our sites;
- Establish general practices and limits concerning use of our sites.
You agree that myTEAMBOOK will not be liable to you or any third party for taking any of these actions. MyTeamBook may delete any content that in the sole judgment of myTEAMBOOK violates these Terms or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. myTEAMBOOK may also delete content that promotes an illegal or unauthorized copy of another person's copyrighted work. MyTeamBook assumes no responsibility for monitoring the myTEAMBOOK Services for inappropriate content or conduct. If at any time myTEAMBOOK chooses, in its sole discretion, to monitor its Services, myTEAMBOOK nonetheless assumes no responsibility for the content, no obligation to modify or remove any inappropriate content, and no responsibility for the conduct of the user submitting any such content. myTEAMBOOK will not be responsible for any loss or damage that may result if you fail to comply with these requirements. myTEAMBOOK includes a combination of content that myTEAMBOOK creates, that our partners create, and that our users create. All materials published on our sites and published by our company and through our vendors, including, but not limited to, written content, photographs, graphics, images, illustrations, marks, and logos, are protected by our copyrights or trademarks or those of our partners and/or users. You may not modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works of, distribute, publicly perform, publicly display, or in any way exploit any of the materials or content on our sites and in our inventory in whole or in part except as part of our Services and then, only in accordance with the terms of the Service Conditions you have agreed to.
Other than for the use of publishing a team book for your team or organization, any other reproduction of myTEAMBOOK's content requires written permission from us, including the following:
- Use of myTEAMBOOK's content in advertisements or promotions
- Use of myTEAMBOOK's trademarks or logos
Your Content
You are solely responsible for all materials, whether publicly posted or privately transmitted, that you upload, post, e-mail, transmit, or otherwise make available on our sites ("Your Content"). You certify that you own all intellectual property rights in Your Content. You hereby grant us, our affiliates, and our partners a worldwide, irrevocable, royalty-free, nonexclusive, sub-licensable license to use, reproduce, create derivative works of, distribute, publicly perform, publicly display, transfer, transmit, distribute, and publish Your Content and subsequent versions of Your Content for the purposes of (i) displaying Your Content on our sites, (ii) distributing Your Content, either electronically or via other means of distribution, to be printed, and/or (iii) storing Your Content in a secured archival database accessible by end users. This license shall apply to the distribution and the storage of Your Content in any form, medium, or technology now known or later developed. All photographs and images are subject to copyright protection. Any images uploaded onto our sites for reproduction in a teambook must have the permission of the copyright owner before myTEAMBOOK can process the order. If you took the photograph or created the image, you are the copyright owner and can provide consent for the reproduction. If the photograph was shot professionally, the photographer is the copyright owner and under copyright law myTEAMBOOK cannot reproduce it without the express consent of the photographer. Prior to uploading a photo for use in a teambook, you will be asked to check a box indicating that you either own the copyright or have secured permission to reproduce the image. By checking the box, you are indicating to myTEAMBOOK that you have read and understand these Terms, that myTEAMBOOK has permission to reproduce the image you have uploaded and that you release myTEAMBOOK from any claims that its reproduction of the images is a violation of copyright law.
Eligibility
Use of the myTEAMBOOK Services is void where prohibited. By using the myTEAMBOOK Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; and (c) your use of the myTEAMBOOK Services does not violate any applicable law or regulation.
Password
When you sign up to receive certain Services, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password and school code. You agree not to use the password of another user at any time or to disclose your password to any third party. You agree to notify myTEAMBOOK immediately if you suspect any unauthorized use of your password. You are solely responsible for any and all use of your subscription and school code together. The technology and the software underlying our sites and the Services is the property of myTEAMBOOK, our affiliates, and our partners. You agree not to copy, modify, rent, lease, loan, sell, assign, distribute, reverse engineer, grant a security interest in, or otherwise transfer any right to the technology or software underlying our sites or the Services excepted as specifically permitted by the owners thereof. You agree not to modify the software underlying our sites in any manner or form or to use modified versions of such software, including (without limitation) for the purpose of obtaining unauthorized access to our sites.
You agree not to violate or attempt to violate the security of the Sites, including without limitation:
- accessing data that is not intended for your use;
- logging on to a server or subscription that you are not authorized to access;
- probing, scanning or testing the vulnerability of any system or network related in any way to the Sites without proper authorization;
- breaching security or authentication measures without proper authorization;
- interfering with service to any host, network, other user, including without limitation, sending unsolicited e-mail, flooding, spamming, mail bombing, or crashing;
- sending promotions and/or advertising products and/or services; or attempting to do any of the preceding.
- Use of our sites is subject to existing laws and legal process. Nothing contained in these Terms shall limit our right to comply with governmental, court, and law-enforcement requests or requirements relating to your use of our sites.

Indemnification
You hereby agree to indemnify, defend and hold myTEAMBOOK and all of our officers, directors, owners, employees, agents, affiliates, partners, and licensors harmless from and against any and all liability, losses, costs, and expenses (including attorneys' fees) incurred by any myTEAMBOOK Party in connection with any claim, including, but not limited to, claims for defamation, violation of rights of publicity and/or privacy, copyright infringement, or trademark infringement arising out of:
- Your use of our sites;
- Any use or alleged use of your book content or your passwords by any person, whether or not authorized by you;
- The content, the quality, or the performance of content that you submit to our site;
- Your connection to our sites;
- Your violation of these Terms; or
- Your violation of the rights of any other person or entity.
myTEAMBOOK reserves the right, at our own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.

myTEAMBOOK disclaims any responsibility for the deletion, the failure to store, the mis-delivery, or the untimely delivery of any information or material. myTEAMBOOK disclaims any responsibility for any harm resulting from downloading or accessing any information or material on the Internet using search results from our sites. myTEAMBOOK disclaims any responsibility for any service outages that are caused by our maintenance on the servers or the technology that underlies our site, failures of our service providers (including telecommunications, hosting, and power providers), computer viruses, natural disasters or other destruction or damage of our facilities, acts of nature, war, civil disturbance, or any other cause beyond our reasonable control.
